These Terms of Service ("Terms") govern your access to and use of the website and services provided by Kernel AI Labs Ltd. ("Kernel", "we", "us", or "our"). By accessing our website, scheduling a demo, or using our services, you agree to be bound by these Terms.
1. Acceptance of terms
By accessing or using our website or services, you agree to these Terms and our Privacy Policy. If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, you must not use our services.
2. The service
Kernel provides infrastructure and tooling for building, deploying, and operating AI agents. The specific features and limitations of the services are described in our product documentation and any applicable order form or written agreement between you and Kernel.
3. Accounts
To access certain features, you may need to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Notify us promptly of any unauthorized access
- Take responsibility for all activity occurring under your account
4. Acceptable use
You agree not to use Kernel to:
- Violate any applicable law, regulation, or third-party right
- Engage in fraudulent activity, including unauthorized scraping or harvesting of data
- Build agents that impersonate individuals, mislead users, or facilitate deception
- Generate or distribute malware, spam, phishing content, or other harmful materials
- Interfere with or disrupt the integrity or performance of Kernel or third-party services
- Reverse engineer, decompile, or attempt to extract source code, except as permitted by law
- Use the service to compete with Kernel or to create a substantially similar product
- Exceed reasonable usage limits or otherwise abuse the service infrastructure
We reserve the right to suspend or terminate access if we reasonably believe you are violating this section.
5. Fees and payment
If you subscribe to a paid plan, you agree to pay the applicable fees as described in your order form or on our pricing page. Unless otherwise stated, fees are non-refundable. We may change pricing for new subscription terms with reasonable notice.
6. Intellectual property
Kernel and its licensors retain all right, title, and interest in and to the services, including all software, designs, trademarks, and documentation. Nothing in these Terms grants you any right to use Kernel's trademarks or branding without our prior written consent.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the services in accordance with these Terms.
7. Customer content
You retain ownership of any data, content, or materials you provide to or generate through the services ("Customer Content"). You grant Kernel a limited license to host, process, and transmit Customer Content solely to provide and improve the services.
You are solely responsible for Customer Content and for ensuring you have the necessary rights and permissions to submit it.
8. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not less than a reasonable standard of care. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.
9. Warranties and disclaimers
The services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Kernel does not warrant that the services will be uninterrupted, error-free, or completely secure.
To the maximum extent permitted by applicable law, Kernel disclaims all warranties not expressly stated in these Terms.
10. Limitation of liability
To the maximum extent permitted by law, Kernel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with these Terms or the services.
Kernel's total aggregate liability under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to liability, or (b) one hundred euros (€100).
11. Indemnification
You agree to indemnify and hold harmless Kernel, its affiliates, and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the services, your Customer Content, or your violation of these Terms or applicable law.
12. Termination
Either party may terminate these Terms in accordance with the terms of any applicable order form, or, if no order form exists, at any time upon written notice. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms.
Upon termination, your right to use the services will cease. Sections that by their nature should survive termination (including intellectual property, confidentiality, limitation of liability, and indemnification) shall survive.
13. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or through our website). Continued use of the services after the changes take effect constitutes your acceptance of the revised Terms.
14. Governing law and dispute resolution
These Terms are governed by the laws of Spain, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively by the competent courts of Madrid, Spain, unless otherwise required by mandatory consumer protection laws.
